Vendor Terms & Conditions

1. Introduction

This Vendor Agreement ("Agreement") establishes the terms and conditions under which you ("Vendor," "you," or "your") may set up a storefront, list, and sell products or services on the Shoppady mobile application and platform ("Shoppady" or the "Platform"). Shoppady is owned and operated by NEXOTIN COMPANY LTD ("Company," "we," "us," or "our"), registered in the Republic of Ghana.

By registering as a Vendor on Shoppady, you agree to be bound by this Agreement, alongside our general Terms and Conditions and Privacy Policy.

2. Vendor Onboarding and Store Management

  • Registration: You must provide accurate, verifiable business information, including valid contact details, identification, and, where applicable, business registration documents required by Ghanaian law.
  • Store Independence: As a Vendor, you are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and NEXOTIN COMPANY LTD.
  • Social Commerce Features: Shoppady utilizes social e-commerce features. You are encouraged to upload engaging content (including videos and images) to promote your listings. All uploaded media must comply with our content guidelines and must strictly pertain to the products you are selling.
  • Account Security: You are solely responsible for all activities conducted under your Vendor account and for maintaining the security of your login credentials.

3. Product Listings and Inventory

  • Accuracy: You are responsible for ensuring that all product descriptions, images, prices, and availability statuses are accurate and up to date.
  • Pricing: All prices must be listed in Ghanaian Cedis (GHS).
  • Prohibited Items: You strictly agree not to list or sell:
    • Counterfeit, pirated, or stolen goods.
    • Illegal substances, weapons, or hazardous materials.
    • Any items prohibited by the laws of the Republic of Ghana.
    • Products requiring special licenses (e.g., pharmaceuticals) without providing proof of authorization to Shoppady.

4. Order Processing and Fulfillment

  • Contract of Sale: The contract for the sale of goods is directly between you (the Vendor) and the Buyer.
  • Fulfillment Timeframes: You agree to acknowledge orders promptly and dispatch them or prepare them to be dispatched by Nexotin(Shoppady) items within the processing time specified on your storefront.
  • Packaging: You are responsible for packaging products securely to prevent damage during transit.
  • Customer Service: You are the first point of contact for resolving Buyer inquiries, complaints, returns, and warranty claims related to your products.

5. Fees, Commissions, and Payments

  • Commission Structure: NEXOTIN COMPANY LTD charges a commission fee on the total sales value of each transaction successfully processed through Shoppady. The current commission rate is 10-25% per transaction. We reserve the right to adjust this rate with 1 days' prior written notice (email/app notification/SMS/WhatsApp Message).
  • Payouts: Vendor earnings (total sales minus our commission and any applicable payment processing fees) will be remitted to your designated Ghanaian bank account or mobile money wallet.
  • Settlement Period: Payouts are processed on a daily basis for all orders marked as "Delivered" or past the standard Buyer return window.
  • Taxes: You are entirely responsible for filing and paying all applicable taxes arising from your sales on the Platform to the Ghana Revenue Authority (GRA).

6. Returns and Refunds

  • Dispute Escalation: If a Vendor and Buyer cannot resolve a refund dispute, Shoppady reserves the right to intervene and make a binding decision based on the evidence provided by both parties.

7. Intellectual Property

  • You grant NEXOTIN COMPANY LTD a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your product listings, trade names, trademarks, and uploaded media for the purpose of operating and marketing the Shoppady platform.
  • You warrant that you own or possess the necessary licenses for all intellectual property associated with the items you list and the content you upload.

8. Warranties and Liability

  • Vendor Warranty: You warrant that all goods sold are of merchantable quality, fit for their intended purpose, and conform to the descriptions provided on Shoppady.
  • Indemnification: You agree to indemnify and hold harmless NEXOTIN COMPANY LTD, its directors, and employees from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the Platform, your products, or any breach of this Agreement.
  • Limitation of Liability: NEXOTIN COMPANY LTD provides the Platform on an "as is" basis. We are not liable for any indirect, incidental, or consequential damages, or loss of revenue arising from system downtimes, data breaches, or disputes with Buyers.

9. Termination and Suspension

  • By Vendor: You may terminate this Agreement and close your storefront at any time by fulfilling all pending orders and providing written notice to Shoppady.
  • By Company: We reserve the right to suspend or terminate your Vendor account immediately and without notice if you violate these terms, engage in fraudulent activity, receive excessive Buyer complaints, or sell prohibited items.

10. Governing Law and Dispute Resolution

  • This Agreement shall be governed by the laws of the Republic of Ghana.
  • Any dispute arising from this Agreement that cannot be resolved through direct negotiation shall be submitted to binding arbitration in Accra, Ghana, under the Alternative Dispute Resolution Act, 2010 (Act 798).
