1. Introduction

Welcome to Shoppady, a multi-vendor social e-commerce marketplace operated by NEXOTIN COMPANY LTD ("Company," "we," "us," or "our"), a company registered under the laws of the Republic of Ghana.

These Terms and Conditions ("Terms") govern your access to and use of the Shoppady mobile application, website, and related services (collectively, the "Platform"). By registering an account, browsing, purchasing, or selling on Shoppady, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Platform.

2. Definitions

• "Platform" refers to the Shoppady mobile application and any associated web services.
• "User" refers to any individual or entity that accesses or uses the Platform, including Buyers and Vendors.
• "Buyer" refers to a User who purchases goods or services through the Platform.
• "Vendor" refers to a User who lists, offers, and sells goods or services on the Platform.
• "Content" refers to text, images, videos, comments, messages, and any other material posted on the Platform's social or e-commerce feeds.

3. Account Registration

• Eligibility: You must be at least 18 years old to create an account. Users under 18 must use the Platform under the supervision of a parent or legal guardian.
• Accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
• Security: You are responsible for safeguarding your account credentials. NEXOTIN COMPANY LTD is not liable for any loss or damage arising from your failure to protect your login information.

4. The Shoppady Marketplace

Shoppady serves as an online venue connecting Buyers and Vendors. We do not own, create, sell, resell, or control the products offered by Vendors.

• Contract of Sale: The actual contract for sale is directly between the Buyer and the Vendor. NEXOTIN COMPANY LTD is not a traditional party to this contract.
• Social Interactions: The Platform includes social features allowing Users to follow, comment, like, and share. You agree to interact respectfully and refrain from harassment, spam, or abusive behavior.

5. Vendor Obligations

Vendors utilizing Shoppady agree to the following:

• Compliance: Vendors must comply with all applicable Ghanaian laws, including but not limited to the Sale of Goods Act, 1962 (Act 137).
• Accurate Listings: All product descriptions, images, and pricing must be accurate and not misleading.
• Prohibited Items: Vendors must not list illegal, counterfeit, stolen, hazardous, or strictly regulated items without proper licensing.
• Fulfillment: Vendors are solely responsible for the timely fulfillment, packaging, and delivery of orders as per the terms stated on their storefront.

6. Buyer Obligations

Buyers utilizing Shoppady agree to the following:

• Payment: Buyers agree to pay for items purchased, including any applicable taxes and shipping fees, using the approved payment gateways integrated into the Platform.
• Good Faith: Buyers must not engage in fraudulent purchases, unwarranted chargebacks, or extortionate reviews.

7. Fees and Commissions

• Creating a User account is free.
• NEXOTIN COMPANY LTD reserves the right to charge Vendors a commission or listing fee for sales made through Shoppady. The current fee structure will be detailed in the [Vendor Agreement/Fees Policy], which is incorporated into these Terms by reference.
• All fees are stated in Ghanaian Cedis (GHS) unless otherwise noted.

8. Intellectual Property

• Platform IP: All intellectual property rights in the Platform (excluding User Content) belong to NEXOTIN COMPANY LTD.
• User Content: By posting content (images, reviews, comments) on Shoppady, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.
• Copyright Infringement: We respect the intellectual property of others. If you believe your copyright has been infringed by a Vendor on our Platform, please contact us immediately.

9. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information in connection with Shoppady is governed by our Privacy Policy, which is drafted in accordance with the Data Protection Act, 2012 (Act 843) of Ghana.

10. Limitation of Liability

To the maximum extent permitted by Ghanaian law, NEXOTIN COMPANY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

• Your use of or inability to use the Platform.
• Any conduct or content of any third party on the Platform, including defamatory, offensive, or illegal conduct of other Users.
• Any products purchased or sold through the Platform.

11. Dispute Resolution

• User vs. User: Disputes between Buyers and Vendors should be resolved amicably between the parties. Shoppady may, but is not obligated to, facilitate mediation.
• User vs. Company: Any dispute arising out of or relating to these Terms or the Platform shall be settled by binding arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.

13. Modifications to Terms

NEXOTIN COMPANY LTD reserves the right to modify these Terms at any time. We will notify Users of significant changes by updating the "Last Updated" date or through direct platform notifications. Continued use of Shoppady after changes constitutes acceptance of the new Terms.
